Terms, conditions, and EULAs
Understand the Merchant of Record relationship and how it affects legal terms.
As the Merchant of Record (MoR), FastSpring purchases products and services from you (the publisher, creator, or provider) and resells them to the end customer. This status allows us to handle all sales tax and VAT collection and remittance, saving you time and energy.
The arrangement also means that any terms and conditions associated with a payment transaction processed by FastSpring need to be FastSpring’s Terms and Conditions, as opposed to your own, or your End User License Agreement (EULA). However, we recommend you still apply your own End User License Agreement (EULA) for using the product.

EULA placement and conversion
We recommend including any necessary terms, conditions, or EULAs for using the product on your website or within the product installer.
While it is important to present your terms, you should carefully consider the placement to avoid negatively impacting conversion rates.
Impact on conversion: Requiring customers to accept terms before purchasing can add friction to the checkout process. Every required step—including additional pages, checkboxes, or clicks—is another opportunity for the consumer to abandon the checkout.
